Wow, most of those economic ?s are straight propaganda. The definition of "capitalism" isn't even on there, free financial markets haven't led to much economic prosperity the last time I checked and international trade doesn't always lead to increased productivity (that depends on a whole host of other factors). And of course they throw in the cheap shot against communism in #27, which may or may not be true depending on the circumstances.

SEC takes step to bring swaps into sunlight

OGW Translator: Swaps have existed since the early 90's, you know, about 20 years - glad to see you're paying attention SEC, my investments are safe.  I can't understand why retail investors are so untrusting of the markets.

Agency also seeks to limit conflicts at derivatives intermediaries

WASHINGTON (MarketWatch) — The Securities and Exchange Commission approved Wednesday a rule requiring some derivatives dealers to report any security-based swaps to the agency upon request.

OGW: "Some derivatives", what's full transparancy in a $450 trillion market between the largest financial institutions in the world.  Why know all the counterparties, when just a few will be fine.

Adoption of the rule, which applies to security-based swaps entered into before July 21, begins the process of bringing a big chunk of the $450 trillion derivatives market under greater regulatory scrutiny. The SEC’s rule is an outgrowth of a measure written into the Dodd-Frank Act, the sweeping bank-reform law.

OGW: "Greater regulatory scrutiny?" How about any?  Greenspan said it was OK that there was no transparancy here.  He even argued that it would be "too hard' to unravel all of these things so just let them be.  Mary seems to be taking a similar tact, "it's too hard, it's too complex, we're busy".   Great confidence elevators.

Based on the rule, which is temporary, banks within a few days will have to begin retaining information about these derivatives transactions and make it available if asked by the SEC. And institutions will have to start automatically reporting information about their swaps — not just when the agency requests it — in coming months, either 60 days after a permanent rule is approved or 60 days after a security-based swap data repository is registered with the agency.

OGW:  "The Rule".  Exactly, they're working on "CDS Rule #1".  I figure by 2030, they'll get to "CDS Rule #2", oh nevermind... it's only temporary. 

However, the agency is unlikely to approve a final rule for months. It’s unclear when such a repository will be registered with the agency.

OGW: The SEC is very very busy right now.  Busy working on finishing up some investigative work on someone called "Madoff" they think.  They have a hunch they're working the case and will get to new priorities eventually.

Only securities-based swaps, such as cash-settled equity swaps or debt-based derivatives, will be required to be reported.

OGW:  Because why give a shit about liabilities of multi-national companies.  "These are not the CDS's you're looking for... move along"

“This gives the commission a better understanding of the security-based swap market and will inform future rules the agency is considering,” said SEC Chairman Mary Schapiro.

OGW: A better understanding?  Start with the alaphabet Mary, then try looking up C is for cookie.

However, Luis Aguilar, a Democratic commissioner, said he worried about the agency’s ability to handle the inflow of information. The rule requires “certain” counter-parties to report information at a future date, he pointed out.

The SEC “lacks the personnel or technology to receive and retain what could be a substantial amount of data,” he said. “These practical challenges should be overcome. We should make a request to Congress so we can put in place a multiyear plan to help us gather data to oversee markets.”

OGW: "Lacks the personnel or technology" - Mary, it's been 20 years since CDS's were invented and about 30 since Excel was invented.  You expect us to give you any trust that you are going to be able to work on High Frequency Trading when your agency couldn't fill out an Excel sheet and publish it in 20 years about single CDS transactions?

Aguilar added that he would encourage that the SEC staff start gathering this information from financial institutions, as they are permitted to by the rule.

OGW:  Exactly, nothing like starting to gather information on a 1/2 quintillion market 20 years after it opened.  Game on Mary.  I thought this was a top priority of the agency back in 2008?  Busy busy I suppose.

Conflicts of interest and clearinghouses

SEC commissioners also voted to introduce a proposal seeking to limit conflicts of interests at clearinghouses — intermediaries between buyers and sellers of swaps.

The proposal would require clearinghouses and derivatives exchanges to adopt ownership and voting limitations as well as other governance provisions. Specifically, the agency proposed limiting the stakes that financial institutions can own in clearinghouses and exchanges.

Clearinghouses are given two governance options to choose from as part of the proposal.

Both options seek to limit clearinghouse participants from having a significant control over the swaps intermediary. With one option, a clearinghouse participant would be prohibited from owning or voting more than 20% of any voting interest in the security-based swap clearing agency.

 

 


Also, with one option, 35% of clearinghouse boards must be composed of independent directors with limited or no financial ties to management. Nominating committees on these boards must be composed of a majority of independent directors, as part of the option.

Defending the proposal, Schapiro pointed out that five large commercial banks currently represent 97% of the total U.S. banking industry notional amounts of derivatives outstanding.

“This concentrated market structure creates the potential for conflicts of interests if a similarly small number of firms are able to control the trading and clearing venues for the security-based swaps market,” she said.

OGW:  Right, the 97% of the CDS market that is the Oligarch bankster outfit aka MERS.  Patterns anyone?

The proposal, as characterized by Schapiro, seeks to limit the possibility that derivatives users controlling clearinghouses or exchanges could seek to limit the scope of products available for trading on a clearinghouse, particularly if there is economic incentive to keep the swap traded in the opaque over-the-counter derivatives market.

OGW: We can burn another 10 years having the fox watch the henhouse.  You know just like everything else.  Urban Roman would be proud.

Split vote on asset-backed securities’ reviews

Also seeking to fulfill Dodd-Frank requirements, the SEC voted 4-1 to propose a rule that would require financial institutions that issue asset-backed securities to perform a review of the assets underlying the securities, and to disclose information relating to the review.

Further, the commission is seeking that asset-backed security issuers make publicly available the findings and conclusions of any due-diligence report done by third parties on the securities.

Aguilar voted against the measure, arguing that it doesn’t seek to have financial institutions conduct a sufficient level of due diligence. Instead, he said, it would have banks conduct the kind of “cursory review” they already were doing.

“This rule [proposal] is an endorsement of the anything-goes approach of the past,” Aguilar said. “I would like to have a rule that review is done that provides a reasonable assurance that the information is accurate. Financial institutions are performing some level of review, a belief that companies are performing some level of review is not good enough.”

OGW:  It's not a rule anymore, it's a "proposal" and it's temporary, so it's a "temporary proposal?".

However, Schapiro argued that the SEC, pending approval of its final rule on the subject, may end up with some mandated level of review.

OGW:  We're putting together a committee to check some things out, we just picked up a copy of Office 2000, so we're on it, get back to you after I spend my $9M payday from FINRA.

 

At the end of the day, nothing has been done, nothing is in the sunlight, the Oligarchs still do what they want and are subject to nothing.  When it gets dicey they change the laws and fuck the good guys.  All while trying to figure out why Johnny the investor and voter has checked out of the insane asylum.

Same shit, different sub-component to the broader problem.  Rule of law is no more, laws are meant to protect the house of fraud now.  They do what they want and we will like it, or we will be threatened with the mass extinction of life as we know it.  Wash rinse and repeat.

The (failed) SEC is another example of failed central government planning.  Should the SEC be rewarded with more regulatory authority?

The TBTFs are an extension of central money planning (Fed and issued FRNs as 'legal tender') and central government regulation (moral hazard of FDIC insurance).  Focussing on how the SEC regulates the TBTFs is focussing on the symptoms rather than the cause.

Of course, in an more productive environment intranational economies are opened up to competing currencies, including gold and silver.  Further, fractional reserve lending is outlawed.  In essence, if folks wish their money to be lent in order to earn interest, then they buy bonds.  If folks wish to protect their wealth, then they hire a safety deposit box or buy a safe.  Citizens can police their own bonds, or hire someone to do this on their behalf.  Most importantly, everyone has the freedom to fail.

Exchanges can police themselves.  If they do a poor job of policing the publicly traded companies listed on their exchange, then folks are free to boycott this exchange and seek investment elsewhere (exactly like the current environment).  Any exchange, for example, that polices against fraud (including such participant reducing activities as HFT) will be rewarded by gaining participants. 

DECENTRALIZATION and DEREGULATION are one in the same.  Both include reducing the power of central planners in favor of liberty.  Both are the optimal solution for a strong foundation for economic prosperity.  Niether can be achieved without the other or by halves.
