Marissa Mayer's Value "Added": Yahoo Is Now Worth A Negative $13 Billion

The last time we looked at the "value" of Yahoo's core business was nearly a year ago, when the stock was trading at a comfortable $50/share, which however was entirely due to the result of YHOO's non-core business. This is how Citi estimate the value of Yahoo's core operations.

Yahoo! shares are down meaningfully during the last two trading days due to the decline in BABA shares, even though Yahoo! announced this week the best-case scenario for its shareholders in the form of a tax-free spin-off of its entire equity position in BABA (see our note here). The trading has created an unusual dislocation, in our opinion. Assuming 1) that the BABA stake trades at a 10% discount to BABA as a SpinCo (and, therefore, is worth $33/YHOO share at current BABA levels), and 2) that its 35% equity stake in Yahoo! Japan is valued using a 44% discount to the current market value (i.e., a 38% tax rate plus a 10% liquidity value), then the core Yahoo! business is currently valued at nearly a negative enterprise value of $1bn.

Citigroup then proceeded to explain how it makes no sense for the stock to trade as low as it did, noting that "BABA would have to drop below ~$74/sh in order for there to be further downside in YHOO shares from here, all else equal."

As of today, BABA is trading at $84 and YHOO stock is down more than 30% since Citi's "analysis."

But we are not here to mock Citi's equity strategists, who are merely placeholders to allow Citigroup to collect soft dollars from Citi clients. We are here to check on the updated enterprise value of Yahoo's core business, especially in the aftermath of news earlier this week that contrary to long-running expectations, Yahoo has decided not to spin off its BABA stake.

According to NYT calculations, what a year ago was "only" a $1 billion negative value for Yahoo's core businesses, which include Search, Communications (Mail, Livetext, Messenger), Digital Content, Tumblr, Digital Advertising and Small Business Services, has now grown, or rather declined, to... well here is the NYT:

As of Wednesday, that figure is a negative (yes, negative) $13 billion.

 

How can a company that has $4.5 billion in revenue and one billion users be worth less than zero?

 

Let’s walk through the numbers.

 

The value of Yahoo’s stake in Alibaba is $32.5 billion and its stake in Yahoo Japan is $8.6 billion. The company’s net cash — or cash minus debt — is $4.2 billion. All told, that is $45.3 billion.

 

But stock market investors are assigning a valuation of $32.5 billion, based on Wednesday’s trading. The news that Yahoo was halting a spinoff of its stake in Alibaba, the Chinese e-commerce giant, choosing instead to explore a spinoff of Yahoo’s core Internet operations plus its stake in Yahoo Japan, sent shares lower, widening that gap.

And therein lies the rub: on one hand a simple market test - the most objective valuation of an asset - suggests YHOO's core valuation has declined from negative $1 bilion to negative $13 billion in less than a year. On the other hand, stumped analysts can't stop explaining how YHOO's EBITDA, despite a steep drop since Meyer's taking control in 2012, is expected to be $1 billion, which would suggest a $5 billion Enterprise Value assuming a modest 5x multiple. If only on paper, er Excel.

Still, the market not only disagrees but sees a valuation gap of a whopping $18 billion.

How can one explain the delta? The only possible explanation is that the market assigns a contribution value to Marissa Meyer's tenure of nearly $20 billion, who in the span of under 4 years has literally destroyed the value of Yahoo's core business.

Which brings us to the topic of her severance package, which some have said is as high as $158 million. AP was kind enough to "correct" this misconception and report that Meyer's golden parachute is now "only" $60 million in cash and stock.

Mayer’s severance package was worth $157.9 million in cash and stock at the end of 2014, if she were fired without cause and after the sale of the company, according to a Securities Exchange Commission filing in April. That sum dwarfed the severance packages offered to other high-profile tech CEOs, prompting critical media coverage earlier this month as investors scrutinized the company’s turn-around strategy.

 

But the current value of Mayer’s severance package is far lower. As of the close of markets on Friday, it was worth about $59.3 million in cash and stock, according to the research firm Equilar.

 

About $50 million of the loss is due to Yahoo’s stock price, which rose dramatically early in Mayer’s tenure, climbing from $15.65 when she took the reins in July 2012 to a peak of $51.75 in November 2014. Her much-reported potential severance payout of $157.9 million is derived from Yahoo’s share price on Dec. 31, 2014: $50.51. But since then, Yahoo’s value — and Mayer’s severance — has fallen dramatically. At the close of markets Tuesday, Yahoo was trading at $34.85

So let's do the math: at the beginning of the year Meyer's severance was worth $158 million. It has since declined to $60 million. During the same time the enterprise value of Yahoo's core operations, as valued by the market, has declined from negative $1 billion to negative $13 billion.

Sounds like a fair trade.

Whatever the real severance package in the end, however, we are confident that at the current trend in which Yahoo is nothing but a shell "liquidating trust" for Alibaba shares, the company's investors would be delighted if the Dan Loeb-appointed CEO (one who made Loeb a massive profit before he prudently cashed out at the peak) were to collect whatever it is that is owed to her and return to doing what she does best.

FleaBay is scammer's paradise both from the seller's standpoint and buyers. I read somewhere 80% of the stuff on FleaBay is "misrepresented" and I know form experience there are tons of scammer buyers.

 

My neighbor uses Amazon and says it's much better...tight quality controls. I have to agree. Stuff I have purchased on Amazon is better quality and accurately represented.

Yeah, I'd say Ebay under Whitman succeeded despite her. The more important metric is what Ebay was like when she left, and I can't really say too much positive about it ATM. Ebay has become a shell of its former self with a huge amount of overpriced crap. General line stores offer better value than Ebay. Do a little price checking and I think you'll find that in a lot of cases it's expensive.

The rest of the employees? screw'em. I used Yahoo Mail yesterday, first time in a couple of years, necessary for a Yahoo groups interaction.

Unusable without extensive experience, I think.  They did what MS did with Word, talked only to experts about what features it should have, and engaged in a feature race.

Thus the open source project is replacing MS word, etc. anywhere people can do it.

The frustration experienced by a new user of those programs is immense, and they don't get it.

I have used many email programs, I believe the only one I have shouted at and wished to kill the designers of was Yahoo's.

Modern Amerikan womyn think they can be 35-42 years old these days, and bag a decent guy who will put up with their bullshit, delusions, etc., just so she might pop out a kid. Whatever happens after that is relative to them. They'll drop the divorce bomb at the drop of a hat, and will demand child support done through the government, and then some.

What are men in that age group looking for? A younger woman. Any guy with his head screwed on straight won't touch a mid-thirties and up broad who has baggage (probably because she's fucked up in the head), plus a severe sense of entitlement, and a warped sense of reality on top of it all.

If any of you guys reading this are under age 40, and still want to settle down, read what I wrote and take it to heart. Womyn start to get all loopy and flaky by age 30 or so, if they've yet to find a decent or good guy to settle down with. If they're not in any relationship by age 31, and still put it out there they want to settle down, stay the fuck away from them.

IIRC, I read an article on a Fitness/Muscle Mag about a Study done regarding Women who wait to have their First Child.  Apparently, it becomes increasingly difficult for Women to have their First Child the longer they wait past age 30.  At the time, the University conducting the study couldn't figure out exactly why. 

I'm guilty of laughing at jokes made by others regarding Biological Clocks ticking like Time Bombs, and JPN Women going on Sale at Half Px on their 25th just like their Fad based Xmas Cakes (at least the traditionalists still pressure their Daughters to Marry before they're 25).  Guess the prime fertile years of 16-24yrs seem to be at least perceived or understood 'round the World. 

Nowadays, we know that a Woman's Fertility Rate starts taking a Nose Dive in the Age 35-45 Window (Ironically, as her Hormones Peak - going out on Top of the World?).  JPN's National News did a Documentary on it - Working Women, holding out to work out their Careers, save/build Houses and Retirement NestEggs, or recently getting married to start a family - were running into "Brick Walls' in their efforts to have Children.  The Sad News for the bulk of them was that they probably waited too long to start; and all the IVF/Hormone Treatments were not going to work.  Surrogates to carry the Embryonic Child? Maybe. 

I blame the FemiNazis/Women Libtard Movements/Glass Ceiling Chasers for suppressing the info regarding that and other Biological Clock related issues.  We owe it to inform our Women about all the Facts and Situations about our Bodies as we encounter them.  Sincere Societies can make the appropriate adjustments to accommodate Women into the Workforce during their Fertile and Child Bearing Years (keeping into acct there are still cubs in the Den after the Womb has closed out - I'm a Son of a Working(now Retired and Widowed) Mother myself - ^_^). 

Egg Freezing for the Masses may be an option to consider now.  Stem/IPS Cells may help us tackle the Fertility Issues down the road; but the risk factors involving Fertility Lifecycles - should be made common knowledge and incorporated into our Societies somehow.  Will this convince more Women to shorten their Careers, force more of them to take leaves of absence, work "part time" or on a Seasonal Basis, and/or restart them post-Menopause?  Maybe. 

I'm willing to be flexible as an Employer - I don't want my future Daughters (and Daughters in Law) to be practically useless and helpless, even if they live comfortably just on their Husbands' Salaries.

Lot of wisdom on zerohedge today... remember kids that women depreciate quick with usage and years, same as cars, you want to be smart and date/lease and swap for a newer model every few years. As a new user of the email system yesterday, I assure you it isn't "pretty good", it is absolutely brilliant in some design space that doesn't include usability for someone who hasn't used it in a while.

From my experience, in EV calculations if cash is greater than the book value of debt, you subtract that amount from total Enterprise Value... EV = MV of Equity + *Net Debt (very clost to BV of debt in most cases) + preferred Equity + minority interest .... Then

 

Yahoo Enterprise Value =

MV of Equity = $32.5B

Net Debt = -$4.6B

Preferred Equity = 0

Minority Interest = de minimis

Enerprise Value = 32.5 -4.6 =  $27.9 Billion

Lots of people get these functions confused.  There are very few true leaders, the vast majority are just managers.   Who are the leaders?  Steve Jobs, Bill Gates, etc.   Most are just managers.

One CEO who I admire is John Chen, now the CEO of Blackberry.  He has done an outstanding job, considering the mess he was handed, and I consider him a leader.  

Marissa Mayer?  Not a true leader.  The innovation just isn't there.
